Schneider Electric to acquire PTC

SCHNEIDER ELECTRIC and PTC, a leader in complex industrial product design, engineering and data management, have signed a definitive agreement under which Schneider Electric will acquire PTC.

The acquisition is structured as an all-cash transaction at $205 per share, representing 100% of PTC’s share capital and valuing its equity at approximately $22.6 billion (€20.1 billion). Including debt and other adjustments, the implied enterprise value is approximately $23.7 billion (€21.1 billion).
Strategically, the acquisition is intended to create a leading, scaled and open industrial software and AI business, capable of supporting customers regardless of the systems they use for design, control, data and intelligence. The combined offering is expected to bridge the physical and digital worlds across the industrial lifecycle, from design and build through to operation and maintenance. It will also establish a unified digital thread, underpinned by a contextualised AI data foundation spanning products and machines as well as processes and energy systems. This is intended to accelerate the development of what the companies describe as Energy & Industrial Intelligence.
The transaction is also expected to strengthen growth and increase the proportion of high-quality recurring revenues, supporting the broader Digital Flywheel strategy while providing attractive margins and strong cash generation. The companies anticipate approximately €250 million of highly executable annual run-rate cost synergies by the third year following completion, alongside approximately €800 million of expected revenue synergies. Together, these benefits are expected to support significant value creation for shareholders while expanding the scale and capabilities of the combined industrial software and AI portfolio.
